Terms of Service

These Terms of Service (“Terms”) govern your use of the MetricChat platform and website at metricchat.com (the “Service”), operated by Midwest Marketing Group LLC (“MetricChat,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

MetricChat is an AI-powered data analytics platform that connects to your data sources and enables natural language querying, dashboarding, and reporting. The Service is available in two deployment models:

• Managed Cloud — We provision and manage a dedicated, isolated instance on your behalf.
• Self-Hosted — You deploy and operate MetricChat on your own infrastructure.

2. Account Registration

To use the Service, you must provide accurate and complete information during registration. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to other customers’ instances or data
• Reverse engineer, decompile, or disassemble any proprietary components of the Service (this does not apply to components licensed under AGPL-3.0)
• Interfere with or disrupt the Service or servers connected to the Service
• Resell or redistribute the managed Service without prior written consent

4. Your Data

You retain all ownership rights to the data you connect to or upload to MetricChat (“Customer Data”). We do not claim any ownership interest in your Customer Data.

• Customer Data is stored in your dedicated, isolated instance (managed cloud) or on your own infrastructure (self-hosted)
• We will not access your Customer Data except as necessary to provide the Service, troubleshoot issues at your request, or comply with law
• Your Customer Data is never shared with other customers or used to train AI models
• AI queries are processed through your configured AI provider using your own API keys

5. Payment & Billing

Managed cloud subscriptions are billed on a recurring basis as described at the time of purchase. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days’ notice. Third-party AI provider costs (OpenAI, Anthropic, Google) are billed directly by the provider and are not included in MetricChat fees.

6. Open Source & Community Edition

MetricChat Community Edition is available under the GNU Affero General Public License v3.0 (AGPL-3.0). Your use of the Community Edition is governed by that license. In the event of any conflict between these Terms and the AGPL-3.0 license, the AGPL-3.0 license shall control with respect to the Community Edition software.

7. Service Availability

We strive to maintain high availability for managed cloud instances but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Self-hosted deployments are subject to your own infrastructure and operational practices.

8. Cancellation & Data Export

You may cancel your managed cloud subscription at any time. Upon cancellation:

• We will assist with exporting your Customer Data upon request
• Your instance and all associated data will be deleted within 30 days of the end of your billing period
• No long-term contracts or cancellation fees apply

9. Limitation of Liability

To the maximum extent permitted by law, MetricChat and Midwest Marketing Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free, secure, or uninterrupted, or that AI-generated analytics will be accurate or complete. You are responsible for verifying the accuracy of any insights generated by the Service.

11. Indemnification

You agree to indemnify and hold harmless MetricChat and Midwest Marketing Group LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wisconsin.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
